1. Introduction
This Verifier and Guide Contractor Agreement ("Agreement") governs the relationship between Makao Hive ("Makao Hive", "we", "our", or "us") and individuals engaged to perform property verification, property viewing assistance, or related field services on behalf of the Platform.
This Agreement applies to every independent verifier, guide or field contractor authorised by Makao Hive.
2. Independent Contractor Relationship
You acknowledge and agree that you are engaged as an independent contractor.
Nothing in this Agreement creates:
- an employment relationship;
- a partnership;
- a joint venture;
- an agency relationship;
- an employer-employee relationship.
You remain responsible for your own taxes, statutory obligations, insurance and regulatory compliance unless otherwise required by law.
3. Scope of Services
Depending on your assignment, you may be requested to perform services including:
- property verification;
- unit verification;
- neighbourhood observations;
- photography;
- walkthrough video recording;
- viewing tour coordination;
- assisting prospective tenants during scheduled viewings;
- documenting verification findings;
- reporting safety concerns.
Assignments are accepted on a task-by-task basis unless otherwise agreed.
Makao Hive does not guarantee a minimum number of assignments.
4. Acceptance of Assignments
Contractors may accept or decline assignments unless otherwise agreed in writing.
Once an assignment has been accepted, you agree to:
- arrive on time;
- complete the assigned work professionally;
- communicate delays promptly;
- follow Platform procedures;
- submit required reports within the specified timeframe.
Repeated cancellations after accepting assignments may affect future work opportunities.
5. Verification Standards
You agree to follow the official verification standards issued by Makao Hive.
Verification activities may include confirming:
- property location;
- accessibility;
- photographs;
- room layout;
- amenities;
- water availability;
- electricity availability;
- security features;
- internet availability;
- parking;
- structural observations;
- cleanliness of common areas;
- general property condition.
You must accurately report your observations without exaggeration or omission.
6. Accuracy and Objectivity
Verification reports must be:
- truthful;
- objective;
- complete;
- supported by evidence where possible.
You must not:
- falsify findings;
- intentionally omit material observations;
- alter photographs to misrepresent a property;
- submit another person's work as your own.
The integrity of Makao Hive' verification programme depends upon accurate reporting.
7. Photography and Video Standards
Where media is collected, you agree to:
- capture clear images;
- avoid misleading angles intended to conceal significant defects;
- accurately represent the property's condition;
- follow Platform photography guidelines.
Where walkthrough videos are required, they should reasonably represent the property at the time of inspection.
8. Safety
You should never place yourself at unreasonable personal risk while carrying out assignments.
You may refuse or discontinue an assignment where you reasonably believe that:
- your personal safety is at risk;
- access is unsafe;
- criminal activity appears to be occurring;
- dangerous structural conditions exist;
- violence or harassment is present.
Safety concerns should be reported to Makao Hive as soon as reasonably practicable.
9. Professional Conduct
While representing Makao Hive, you agree to:
- behave professionally;
- act respectfully;
- avoid discrimination;
- avoid harassment;
- communicate courteously;
- dress appropriately for assignments where practical.
Professional conduct contributes to maintaining public trust in the Platform.
10. Confidentiality
During your engagement, you may receive confidential information including:
- unpublished property information;
- verification reports;
- customer details;
- applicant information;
- operational procedures;
- Platform documentation.
You agree not to disclose confidential information except where authorised or legally required.
Your confidentiality obligations continue after this Agreement ends.
11. Personal Information
You may have access to personal information relating to:
- tenants;
- landlords;
- property managers;
- applicants;
- other contractors.
You agree to:
- use personal information only for authorised assignments;
- protect it from unauthorised disclosure;
- comply with the Kenya Data Protection Act, 2019;
- promptly report suspected data breaches.
Personal information must never be copied, sold or retained for personal purposes.
12. Equipment
Unless otherwise agreed, contractors are generally responsible for providing suitable equipment required to complete assignments, including:
- smartphones;
- cameras;
- internet connectivity;
- transportation;
- safety equipment where appropriate.
Makao Hive may specify minimum equipment standards for certain assignments.
13. Expenses
Unless expressly agreed otherwise, contractors are responsible for their own operating expenses, including:
- transport;
- mobile data;
- airtime;
- equipment maintenance;
- fuel;
- insurance.
Any reimbursable expenses must receive prior approval unless emergency circumstances apply.
14. Compensation
Compensation will be communicated before or at the time an assignment is offered.
Compensation may vary depending on factors including:
- assignment type;
- complexity;
- location;
- travel requirements;
- urgency.
Payment is generally made after satisfactory completion of the assignment and submission of required documentation.
Makao Hive may withhold payment where:
- assignments are materially incomplete;
- reports are fraudulent;
- required evidence is missing;
- Platform policies have been seriously breached.
15. Intellectual Property
All reports, photographs, videos, checklists and other work products created as part of an authorised assignment become the property of Makao Hive upon payment for the assignment, unless otherwise agreed in writing.
You assign to Makao Hive all rights necessary to:
- use;
- reproduce;
- edit;
- publish;
- distribute;
- archive;
- display
such work products in connection with operating and promoting the Platform.
You may not reuse or commercially exploit assignment materials without prior written consent.
16. Conflicts of Interest
You must disclose any actual or potential conflict of interest before accepting an assignment.
Examples include:
- ownership of the property;
- close personal relationships with the landlord;
- financial interests in the property;
- circumstances likely to compromise your impartiality.
Makao Hive may reassign work where appropriate.
17. Insurance
Contractors are responsible for obtaining any insurance they consider appropriate.
Makao Hive does not generally provide:
- medical insurance;
- vehicle insurance;
- personal accident insurance;
- equipment insurance.
Nothing in this Agreement prevents Makao Hive from offering optional insurance arrangements in the future.
18. Compliance with Law
Contractors agree to comply with all applicable Kenyan laws while performing assignments, including laws relating to:
- health and safety;
- privacy;
- photography;
- trespass;
- road traffic;
- anti-corruption;
- consumer protection.
19. Suspension and Termination
Makao Hive may suspend or terminate this Agreement where a contractor:
- submits false verification reports;
- repeatedly performs work below required standards;
- breaches confidentiality;
- violates Platform policies;
- engages in fraud;
- behaves unprofessionally;
- creates safety risks.
Contractors may also terminate this Agreement by providing reasonable notice where practical.
Termination does not affect obligations relating to confidentiality, intellectual property or completed assignments.
20. Limitation of Liability
To the fullest extent permitted by law, Makao Hive shall not be liable for losses arising from:
- independent contractor decisions;
- travel delays;
- property access issues;
- cancelled assignments;
- third-party conduct;
- events beyond our reasonable control.
Nothing in this Agreement excludes liability that cannot lawfully be excluded under Kenyan law.
21. Changes to this Agreement
Makao Hive may update this Agreement from time to time to reflect:
- operational improvements;
- changes in law;
- verification procedures;
- contractor programmes;
- Platform enhancements.
Material updates will be reflected by updating the "Last Updated" date.
